Terms of Service

These Terms of Service ("Terms") govern your access to and use of Orbinium's website and professional services. By visiting https://orbinium.com or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
Our Services
Orbinium provides custom software development services including, but not limited to, web development, mobile application development, backend systems, cloud infrastructure, and AI integrations. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate project agreement or statement of work (SOW).
These Terms apply generally to all engagements and supplement — but do not replace — individual project agreements.
Project Agreements
Before work begins, both parties will agree on a written project agreement covering:
- Project scope, features, and deliverables.
- Timelines and milestone schedule.
- Payment terms and amounts.
- Revision and change request process.
Changes to agreed scope must be documented in a written change order signed by both parties. Additional scope may affect timelines and cost.
Intellectual Property
Intellectual property rights are allocated as follows:
- Upon receipt of full payment, clients receive full ownership of all custom code and deliverables produced specifically for their project.
- Orbinium retains ownership of general methodologies, frameworks, tools, libraries, and pre-existing intellectual property.
- Third-party libraries and open-source components included in projects are subject to their respective licenses, which the client agrees to comply with.
- Orbinium may showcase completed work in its portfolio and marketing materials unless the client requests confidentiality in writing.
Client Responsibilities
To enable timely and successful delivery, clients agree to:
- Provide accurate, complete, and timely project requirements.
- Supply necessary assets, content, credentials, and third-party access required for development.
- Review deliverables and provide feedback or approval within agreed timelines.
- Ensure that any content or materials provided do not infringe upon the intellectual property or other rights of third parties.
Delays caused by client inaction may result in revised timelines and additional charges.
Payment Terms
Unless otherwise specified in a project agreement:
- Payments are structured as milestones defined in the project agreement.
- Invoices are due within the timeframe stated on the invoice.
- Late payments may incur a 2% monthly interest charge on the outstanding balance.
- Work may be paused on accounts overdue by more than 30 days.
- All prices are exclusive of applicable taxes, duties, or levies, which are the client's responsibility.
Limitation of Liability
To the maximum extent permitted by law, Orbinium's total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
Orbinium shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
Confidentiality
Both parties agree to treat as confidential any proprietary information, business data, technical specifications, or trade secrets shared during the course of an engagement. This obligation of confidentiality survives the termination of any project agreement.
Orbinium will not disclose client information to third parties except as required to deliver the agreed services or as required by law.
Termination
Either party may terminate a project engagement by providing written notice as specified in the individual project agreement. Upon termination:
- Fees for all work completed up to the termination date remain payable by the client.
- Orbinium will deliver all completed work and materials to the client upon receipt of outstanding payments.
- Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination.
Governing Law
These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising from these Terms or related engagements shall first be addressed through good-faith negotiation between the parties. If unresolved, disputes shall be submitted to binding arbitration in Faisalabad, Pakistan.
Changes to These Terms
We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or services after changes take effect constitutes your acceptance of the revised Terms.
